ALL DISPUTES WILL BE RESOLVED SOLELY BY BINDING ARBITRATION AND PARTICIPANTS WAIVE THE ABILITY TO BRING CLAIMS IN A CLASS ACTION FORMAT.

PROMOTION DESCRIPTION: This is a skill-based contest. The Contest is named the Air Pitch Startup Competition Powered by Accenture Amadeus Alliance and Skift (the “Contest” or “Promotion”) and will take place from Wednesday, April 25, 2018 to Friday, August 17, 2018 (the “Entry Period”). The intent of the Contest is to invite businesses to submit their startup for consideration via video pitch. All Participants must fill out the online form describing their business and why they should be chosen as an Air Pitch Startup Competition finalist to pitch at Skift Global Forum 2018 in New York City along with a two (2) minute video responding to and in compliance with the Entry Requirements & Conditions section, below (the “Video”). Participation in the Contest is free of charge. Each Entry must clearly reflect the judging criteria and adhere to the entry requirements as defined below. The Contest will include a round of judging to determine three (3) Finalist businesses who will advance to pitch at the Skift Global Forum Kick-off party in New York City on September 26, 2018.

By participating in the Air Pitch Startup Competition, each business unconditionally accepts and agrees to comply with, and abide by these Official Rules and the decisions of Accenture Digital (the “Sponsor”) and US Sweepstakes & Fulfillment Co. (the “Administrator”), which shall be final and binding in all respects.

ELIGIBILITY: The Promotion is only open to businesses of the 50 United States, including the District of Columbia (“Participant”). Void in Puerto Rico, Guam, the U.S. Virgin Islands, outside the U.S., and wherever else prohibited by law. By entering the Promotion, each Participant acknowledges and agrees that his/her participation in the Contest may be subject to, or prohibited or restricted by, his/her employer’s policies and regulations and that the Participant is solely responsible for review of, and compliance with, any such policies or regulations of his/her employer. Violations of employer policies, as determined by Sponsor in its sole discretion, may void entry and award of prize. Employees of the Sponsor, Amadeus IT Group S.A. (“Amadeus”), Skift, Inc. (“Skift”), Administrator and their respective subsidiaries, affiliates, advertising and promotion agencies, and the immediate family members (spouses, parents, children, and siblings and their spouses) of, and/or those living in the same household of each, are not eligible to participate. Promotion is subject to all applicable federal, state and local laws and regulations.

TIMING: The Promotion begins at 12:00:01 AM Eastern Time (“ET”) on Wednesday, April 25, 2018 and ends at 11:59:59 PM ET on Wednesday, September 26, 2018 (the “Promotion Period”) and consists of three (3) periods: the Entry Period, the Judging & Finalist Determination Period, and the Grand Prize Winner Determination Period as defined in the chart below. Finalists will be announced on/or about Tuesday, September 4, 2018. The Sponsor’s computer is the official timekeeping device for this Promotion.

HOW TO PARTICIPATE: The Entry Period begins at 12:00:01 AM Eastern Time (“ET”) on Wednesday, April 25, 2018 and ends at 11:59:59 PM ET on Wednesday, August 17, 2018. During the Entry Period, create and upload your Video to YouTube or Vimeo, visit skift.com/air-pitch (the “Promotion Website”), follow all instructions to complete the Entry form including providing the YouTube or Vimeo link to your Video and describing the business, solution, and why the business should be chosen as an Air Pitch Startup Competition finalist to pitch at the Skift Global Forum 2018 in New York City in 300 words or less (“Business Statement”) and submit (the “Entry”).

Once an Entry is submitted it cannot be modified by a Participant. Sponsor is not responsible for lost, late, incomplete, illegible, garbled, inaccurate, invalid, misdirected, undelivered, or delayed Contest Entries. No altered or incomplete submissions will be accepted.

This Promotion is in no way sponsored, endorsed, or administered by, or associated with, YouTube or Vimeo.

ENTRY REQUIREMENTS & CONDITIONS: By participating in the Contest and accepting these Official Rules, each Participant hereby agrees that:

  • Participant will be available and able to attend the 2018 Skift Global Forum in New York City, traveling from September 25-27, 2018.
  • At the time of application, Participant must have a functional prototype and/or minimal viable product and/or proof of concept to support the pitch. Regardless of what the solution is, Participants must be able to demonstrate/showcase their solution to the judges.
  • Entries should cover the following points:

    1. Your startup’s value proposition
    2. What problem your product/service is solving
    3. Briefly explain your business model
    4. Identify which of the four key pillars, noted below, your business is addressing
    5. Explain your startup’s competitive positioning
    6. What are your revenue streams? Aka how do you make money?
  • Participant must solve for one or more of the key pillars of the Accenture Amadeus Alliance’s mission:

    1. Helping Airlines become next-gen retailers

      1. Mastering the art of market qualifying and prediction
      2. Advanced merchandising for better conversion

In addition to the above, participants undertake to observe the following simple rules of conduct:

  • Videos must conform to all Terms and Conditions of Youtube or Vimeo, including the video format and size requirements and limitations.
  • Video must not exceed two (2) minutes in length.
  • Do not use expressions that incite violence or forms of discrimination, obscenity, or defamation.
  • Avoid content that is offensive, vulgar, defamatory, or that violates privacy or is otherwise against applicable law, as well as advertising content or content that concerns political or religious views or other such ideologies;
  • Entry or Video cannot contain content that is irrelevant to the purpose of the Contest.
  • Each submitted Business Statement must be original and must describe the business, solution and why the business should be chosen as an Air Pitch Startup Competition finalist to pitch at the Skift Global Forum 2018 in New York City in 300 words or less.
  • Once a Video has been submitted, it cannot be modified or deleted by Participant.
  • Each submitted Video must be original, on which no image editing software has been used.
  • No duplicate Videos or substantially similar Videos, as determined by the Sponsor in its sole discretion, may be submitted.
  • By submitting a Video taken by a third party, Participant warrants and represents that he/she has secured all rights and clearances to the Video from the videographer.
  • Entry and Video cannot be profane, pornographic, sexually explicit or suggestive or contain nudity.
  • Entry cannot be violent or promote firearms/weapons.
  • Entry cannot promote alcohol, illegal drugs or tobacco.
  • Entry cannot defame, misrepresent or contain disparaging remarks about people, brands, products or companies.
  • Entry cannot contain content that defaces or depicts any person, brand, product or company in a negative or inappropriate manner.
  • Entry cannot be obscene or offensive, endorse any form of hate or hate group or be derogatory to any ethnic, racial, gender, religious, professional, or age group.
  • Entry cannot reference or contain materials embodying copyrighted images, names, likenesses or other indicia identifying any brand, products, company or person, living or dead, without permission.
  • Entry cannot communicate messages or images inconsistent with the positive images and/or goodwill to which Sponsor, Skift, and Amadeus may wish to associate.
  • Entry cannot depict illegal activity and cannot itself be in violation of any law.
  • Entry cannot in any way reference persons or organizations without written permission from any person or organization whose name or likeness is used.
  • Entry may not include images of a known celebrity, famous or well-known person or any image which violates the right of privacy or publicity of any person.

By submitting an Entry, the Participant understands and grants to the Sponsor, Skift, and Amadeus an irrevocable, perpetual, non-exclusive, worldwide license to use his/her Entry, name, hometown, and likeness on the Sponsor, Skift, and Amadeus’ various websites and social media sites, and in advertising and/or promotional activities worldwide without compensation, permission, or notification. Sponsor and Amadeus reserve the right in their absolute discretion to alter, change or modify any Entry.

By submitting an Entry, Participant warrants and represents that: (a) Entry does not infringe upon the copyrights, trademarks, rights of privacy, publicity or other intellectual property or other legal or moral rights of any person or entity; (b) Participant owns all rights to the Entry, including without limitation, copyrights; and (c) Participant will indemnify and hold harmless the Sponsor, Skift, and Amadeus’, Administrator and related entities, agents and assignees from any claims and damages (including reasonable attorneys’ fees) arising from or relating to the breach or alleged breach of your representations and warranties herein, the Entry, or Participant’s conduct in creating the Entry, the acceptance or use of any prize or otherwise in connection with this Promotion.

CONTEST ENTRIES ARE THE VIEWS/OPINIONS OF THE INDIVIDUAL PARTICIPANT AND DO NOT REFLECT THE VIEWS OF SPONSOR IN ANY MANNER.

JUDGING & FINALIST DETERMINATION: The Judging & Finalist Determination Period will begin on Saturday, August 18, 2018 and will be completed on Sunday, September 2, 2018. All eligible Entries received during the Entry Period will be judged by a panel of judges appointed by the Sponsor, who shall use the criteria set forth below:

  1. Relevance Of Business Model For Airlines (10 Points)
  2. Ties To The Four Key Pillars (10 Points)
  3. Credible USP (10 Points)
  4. Credible Value Proposition (10 Points)
  5. Which Problem Is Solved (10 Points)
  6. I Am Buying The Solution (10 Points)
  7. I Would Invest (10 Points)

The three (3) Contest Entries that receive the highest total score based on the judging criteria will each be deemed a potential finalist. In the unlikely event of a tie, the tied Entry with the highest score in Criterion A, will be deemed the potential finalist. If additional tie breakers are needed, the tie-breaking mechanism above will be used; however, instead of the highest score in Criterion A determining the potential finalists from among the tied entries, the highest scores in each of Criteria B through D, in sequence (to the extent needed) will determine the potential finalists. In the event additional tiebreakers are needed, all tied Contest Entries will be judged by a separate panel of judges using the judging criteria above.

CONTEST FINALIST CONFIRMATION PERIOD & FINALIST ACCEPTANCE: Potential finalists will be contacted by the Administrator by email or phone on/around September 4, 2018, and will be required to have an authorized representative of the Participant sign and return an Affidavit of Eligibility & Publicity/Liability Release (the “Releases”) within seven (7) days of notification to be declared a verified finalist (a “Finalist”), receive the Finalist Package and continue on to the Grand Prize Winner Determination Period as outlined below, to present the Finalist business’ Entry in a live presentation at the Skift Global Forum 2018 Kick-Off Party (the “Finalist Presentation”). Each Finalist must designate up to two (2) employees who will participate in the Finalist Presentation (each, a “Business Representative”). Noncompliance will result in disqualification and the Participant with the next highest judging score will be deemed a potential Finalist.

CONTEST GRAND PRIZE WINNER DETERMINATION, NOTIFICATION & CONTEST GRAND PRIZE ACCEPTANCE REQUIREMENTS: The Judging & Grand Prize Winner Determination Period will begin on Wednesday, September 26, 2018 and will be completed on Wednesday, September 26, 2018. Finalist presentations will be judged by a panel of judges appointed by the Sponsor, Amadeus and Skift who shall use the criteria set forth below:

All Finalists and their Business Representatives must be available starting at 9AM ET on Wednesday, September 26, 2018 for a dress rehearsal at the Skift Global Forum, Jazz at Lincoln Center’s Frederick P. Rose Hall, 10 Columbus Cir, New York City, NY 10023 or another rehearsal location in the area to be determined by Skift. This rehearsal will be scheduled by the Skift/Accenture Amadeus Alliance team. Companies selected as Finalists will go through a minimum of two (2) rehearsals – one (1) digital dry run rehearsal will take place via video conference with the Skift/Accenture Amadeus Alliance team prior to September 26, 2018 and one (1) dress rehearsal as outlined above on September 26, 2018 will take place on the day of the event. Both rehearsal sessions are required to ensure that all teams are prepared to pitch and to field Q&A on-stage. Unavailability may result in disqualification.

During the Skift Global Forum Kickoff party, which takes place the evening before the conference on Wednesday, September 26, 2018, at a time to be determined by the Sponsor, each Finalist will pitch/live demo their product/service for five (5) minutes. Following the presentation, Finalists will answer questions from panelists/judges for five (5) minutes. The pitch/live demo and question/answer session (collectively, the “Finalist Presentation”) will be recorded. Video and photo assets from the Finalist Presentation may be made available to the Finalists after Skift Global Forum 2018, but all assets will remain the intellectual property of Skift/the Accenture Amadeus Alliance.

All Finalist Presentations will be judged by a panel of judges appointed by the Sponsor, Amadeus, and Skift. Judging will be based on the criteria set forth above to determine one (1) Grand Prize Winner.

In the unlikely event of a tie, the tied Finalist Presentation with the highest score in Criterion A, Relevance Of Business Model For Airlines, will be deemed the potential finalist. If additional tie breakers are needed, the tie-breaking mechanism above will be used; however, instead of the highest score in Criterion A determining the potential Grand Prize winner from among the tied Finalist Presentations, the highest scores in each of Criteria B through G, in sequence (to the extent needed) will determine the potential Grand Prize winner. In the event additional tiebreakers are needed, all tied Finalist Presentations will be judged by the panel of judges based on which Finalist had the best overall pitch in the judge’s opinion.

WINNER NOTIFICATION & CONTEST PRIZE ACCEPTANCE REQUIREMENTS: The potential Contest Winner will be notified on or about Wednesday, September 26, 2018 at the Skift Global Forum Kick-Off Party, and will be required to sign and return, within seven (7) days of notification, the Releases. Noncompliance will result in disqualification and the Finalist whose Finalist Presentation received the next highest score will be deemed the potential winner of the prize in question and will be notified. The Grand Prize funding and Skift subscription will be awarded within 4-6 weeks and the remaining portions of the Grand Prizes will be awarded within 6 months.

FINALIST PACKAGE/PRIZES/APPROXIMATE RETAIL VALUE (“ARV”):

  • Finalist Package: There are three (3) Finalist Packages available consisting of the following:

    • The chance to pitch their ideas to senior members of the Travel Industry (audience / participants of the Kick -off party)
    • Two (2) tickets, one for each Business Representative, to attend the 2018 Skift Global Forum in New York City, September 26-27, 2018 (two (2) ticket maximum per Finalist).
    • Trip to New York City for each Business Representative to New York City, New York from September 25-27, 2018. Trip package includes:

      • Round-trip, coach-class air-transportation for Business Representatives to New York City, New York from a major airport within the US nearest the winner’s residence as determined by Sponsor;
      • Three (3) days / two (2) nights hotel accommodations based on single room occupancy per person;
    • All other costs of travel and participation will be the responsibility of the Finalist.
  • Grand Prize: There is one (1) Grand Prize available to be won consisting of the following:

    • Funding: $5,000 awarded in the form of a check to the Grand Prize winning business.
    • Access: Opportunity to contribute to a design sprint / rapid prototyping, combining the winning solution with a client issue or an innovation, and/or Grand Prize winner will be a guest at a design sprint or client workshop, working side by side with the Accenture Amadeus Alliance Innovation Center team to prepare for the workshop. Maximum of two (2) employees of Grand Prize winner’s business may participate.
    • 1-year subscription to Skift Research Reports for one (1) subscriber
    • Trip to Dublin, Ireland: The Grand Prize includes a trip package for Business Representatives to travel to Dublin, Ireland. Grand Prize trip package includes:

      • Round-trip, coach-class air-transportation for two (2) Business Representatives to Dublin Ireland from a major airport within the nearest winner’s residence as determined by Sponsor;
      • Four (4) nights hotel accommodations based on single room occupancy per person;
      • Grand Prize winner may designate a replacement for Business Representative(s) to participate in the Grand Prize trip.

The total ARV of the Grand Prize is $15,195.00

The total ARV of all prizes to be awarded: $15,195.00.

PRIZE CONDITIONS: If any notification or prize is returned as undeliverable, or if potential finalist or winner is found to be ineligible or not in compliance with these Official Rules he/she will be disqualified.

Prizes are not redeemable for cash. Prizes are not assignable nor transferable. No substitution is permitted except if prize is unavailable, in which case a prize of equal or greater value will be awarded. No cash in lieu of prizes and no exchange or substitution of prizes, except at the sole discretion of the Sponsor. Any other incidental expenses on prize not specified herein are the winner’s sole responsibility.

All travel related expenses, including but not limited to, ground transportation to and from home, taxes, gratuities, incidentals, upgrades, insurance, service charges, airport surcharges, departure taxes, hotel, resort or property fees, luggage fees, food & beverage and personal expenses such as telephone/Internet charges, and gift shop purchases are the sole responsibility of prize winner. Winner and travel companion must travel on same itinerary. Winner and travel companion must have valid photo ID and any other required documentation prior to departure. Prize must be used on dates specified or prize will be forfeited. Dates are subject to change. Travel is subject to availability. Finalist Trip is only available on dates specified by Sponsor, Skift, and Amadeus. Grand Prize Trip must be taken on dates specified by Sponsor, Skift, and Amadeus which will be within six (6) months of the competition.

Sponsor will, in its sole discretion, determine which airport is closest to the Finalist Package winner’s home. In the event the Finalist Package winner’s business is close enough to New York City, New York such that air transportation is deemed by Sponsor in its sole discretion to be unnecessary, the Finalist Package will not include air transportation from such Finalist Package winner’s location and no other substitution or compensation will be provided in lieu thereof. The Business Representatives are responsible for obtaining any travel insurance (and all other forms of insurance) that they may wish to obtain (at their own expense) and hereby acknowledge that the Sponsor has not and will not obtain or provide travel insurance or any other form of insurance.

Photo identification and credit card or cash deposit may be required at any time for incidental charges (e.g., room service, use of telephone/IT services, laundry and all other optional extra services not provided in the Grand Prize or Finalist Package). If Grand Prize or Finalist Package winner elects to travel or partake in the Grand Prize or Finalist Package with only one (1) Business Representative, no additional compensation will be awarded. All hotel reservations are based on availability and all holidays are excluded. Accommodations are subject to availability at time of reservation. Blackout dates, advance booking requirements and travel restrictions may apply. Availability is subject to factors such as weather, seasonality and space availability. Reservations are subject to availability. If weather or other incident or conditions beyond the control of the Sponsor affects the ability for winner and his/her travel companion to redeem any portion of prize during the scheduled date and time, then the Sponsor shall have no further obligation to the winner and/or travel companion other than to supply the remaining elements of the prize package minus the unused portion of prize. Sponsor shall not be responsible for any cancellations, delays, diversions or substitution or any act or omissions whatsoever by the air carriers, hotels, venue operators, transportation companies, prize providers or any other persons providing any prize-related services or accommodations. Sponsor is not liable for expenses incurred as a consequence of flight cancellation/delay. No refund or compensation will be made in the event of the cancellation or delay of any transportation or other prize element except at the sole and absolute discretion of Sponsor. If for any reason whatsoever, winner and/or travel companions are unable to travel after all travel arrangements have been made and paid, the Sponsor shall have no further obligation to the winner. If Grand Prize or Finalist Package is forfeited prior to Sponsor finalizing and paying for travel, and there is sufficient time to notify an alternate winner, the prize may be awarded to an alternate winner. The Business Representatives are responsible for obtaining the proper travel documentation (e.g., valid photo ID and/or passport with a minimum validity of 6 months after the date of return) prior to travel. The Business Representatives must be legal U.S. resident, 21 years or older and must complete and return a Travel Liability & Publicity Release prior to travel as noted above.

In the event a representative of the business engages in behavior that, as determined by the Sponsor in its sole discretion, is obnoxious or threatening, illegal or that is intended to annoy, abuse, threaten or harass any other person, Sponsor reserves the right to terminate the trip early, whole or in part, and send the Business Representatives home with no further obligation. In the event a representative of the business engages in behavior during travel that (as determined by Sponsor in its sole discretion) is illegal, tortious, or subjects the representative of the business to arrest or detention, Sponsor shall have no obligation to pay any damages, fees, fines, judgments or other costs or expenses of any kind whatsoever incurred by Business Representatives as a result of such conduct. SPONSOR SHALL HAVE NO LIABILITY FOR ANY PERSONAL INJURIES, DEATH, PROPERTY DAMAGE, OR OTHER DAMAGES OR EXPENSES RESULTING FROM OR ARISING OUT OF ANY TRAVEL RELATED TO THE PRIZE OR ANY OTHER ASPECT OF PRIZE WINNER’S OR BUSINESS REPRESENTATIVES ACCEPTANCE OR USE OF THE PRIZE.

Tickets are subject to Skift Global Forum complete terms and conditions. In the event that Skift Global Forum 2018 does not take place as scheduled, for reasons such as cancellation, preemption or postponement, or for any reason beyond the control of the Sponsor, Sponsor’s sole responsibility will be to determine a new venue and location for the Grand Prize judging and determination.

Winner is responsible for all federal, state, local and income taxes associated with winning prize. Grand Prize and Finalist Package winners will be required to furnish the business’s Tax Identification Number for the sole purpose of preparation of tax forms as required by law. Except where prohibited by law, entry and acceptance of prize constitute permission to use winner’s name, prize won, hometown, likeness, video tape, photographs, and statements for purposes of advertising, promotion and publicity (including online posting) in any and all media now or hereafter known throughout the world in perpetuity, without additional compensation, notification or permission.

By accepting Grand Prize or Finalist Package, Participant further agrees to release the Promotion Entities from any and all liability, loss or damage of any kind arising out of or in connection with its participation in this Promotion or with respect to the awarding, receipt, possession, use and/or misuse of any prize.

GENERAL: Participants agree to these Official Rules and the decisions of the Administrator and the Sponsor, and release and hold the Sponsor, the Administrator, Skift, Amadeus, YouTube, Vimeo and their affiliated companies, and all other businesses involved in this Promotion, as well as the employees, officers, directors and agents of each (the “Released Parties”), from all claims and liability relating to their participation in the Promotion, and the acceptance and use/misuse of the prize offered. Participants waive all rights to claim punitive, incidental and consequential damages. Finalists/Winners assume all liability for any injury or damage caused or claimed to be caused, by participation in this Promotion or use/misuse or redemption of a prize. Sponsor is not responsible for any typographical or other error in the printing of the offer, administration of the Promotion or in the announcement of any prize.

No confidential relationship is established by any Contest Participant and the Sponsor as a result of participating in the Promotion. None of the information submitted by the Participant will be treated as trade secrets, confidential information or as protected data.

In the event of a dispute over the identity of a Participant, entry will be deemed submitted by the eligible business named at time of entry. Sponsor may ask any Participant or potential winner to provide Sponsor with proof, to Sponsor’s satisfaction, of such party’s business and contact information. Entry materials/data that have been tampered with or altered, or mass entries or entries generated by a script, macro or use of automated devices are void. The Released Parties are not responsible for: (i) lost, late, misdirected, damaged or illegible entries; or (ii) error, omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions of any kind, or inaccurate transmission of or failure to receive entry information by Sponsor on account of technical problems or traffic congestion on the Internet or at any web site or any combination thereof; or (iii) any injury or damage to Participant’s or any other person’s computer related to or resulting from participating in the Promotion. By participating in the Promotion, you (i) agree to be bound by these official rules, including all eligibility requirements, and (ii) agree to be bound by the decisions of Sponsor and the Contest Administrator, which are final and binding in all matters relating to the Promotion. Failure to comply with these official rules may result in disqualification from the Promotion. Sponsor reserves the right to: (i) permanently disqualify from any Promotion it sponsors any person it believes has intentionally violated these official rules; and (ii) withdraw a method of entry if it becomes technically corrupted (including if a computer virus or system malfunction inalterably impairs its ability to conduct the Promotion). If for any reason this Promotion is not capable of running as planned due to an infection by a computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Promotion, the Sponsor reserves the right at its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Promotion, at which time, Sponsor will determine the Finalists and/or prize winner from among all eligible, non-suspect entries received at the time of the Promotion termination.

LEGAL WARNING: ANY ATTEMPT BY AN INDIVIDUAL, WHETHER OR NOT A PARTICIPANT, TO DAMAGE, DESTROY, TAMPER OR VANDALIZE THIS WEB SITE OR INTERFERE WITH THE OPERATION OF THE PROMOTION, IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND DILIGENTLY PURSUE ALL REMEDIES AGAINST ANY SUCH PARTICIPANT TO THE FULLEST EXTENT PERMITTED BY LAW.

GOVERNING LAW AND LIMITATION OF LIABILITY: All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations of Participants, Sponsor or the Released Parties in connection with the Promotion will be governed by and construed in accordance with the internal laws of the State of Illinois, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other laws.

BY ENTERING THE PROMOTION, PARTICIPANT AGREES THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW: (A) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE PROMOTION, OR ANY PRIZE AWARDED, WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (B) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED (IF ANY) NOT TO EXCEED TEN DOLLARS ($10.00), BUT IN NO EVENT WILL ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE; (C) UNDER NO CIRCUMSTANCES WILL ANY PARTICIPANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND PARTICIPANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES, OTHER THAN ACTUAL OUT OF POCKET EXPENSES NOT TO EXCEED TEN DOLLARS ($10.00), AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; AND (D) PARTICIPANTS’ REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND PARTICIPANT IRREVOCABLY WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY, SO THE ABOVE MAY NOT APPLY TO YOU.

DISPUTES: The parties hereto each agree to finally settle all disputes only through arbitration; provided, however, the Released Parties shall be entitled to seek injunctive or equitable relief in the state and federal courts in Cook County, Illinois and any other court with jurisdiction over the parties. In arbitration, there is no judge or jury and review is limited. The arbitrator’s decision and award is final and binding, with limited exceptions, and judgment on the award may be entered in any court with jurisdiction. The parties agree that, except as set forth above, any claim, suit, action or proceeding arising out of or relating to this Promotion shall be resolved solely by binding arbitration before a sole arbitrator under the streamlined Arbitration Rules Procedures of JAMS Inc. (“JAMS”) or any successor to JAMS. In the event JAMS is unwilling or unable to set a hearing date within fourteen (14) days of the filing of a “Demand for Arbitration”, then either party can elect to have the arbitration administered by the American Arbitration Association (“AAA”) or any other mutually agreeable arbitration administration service. If an in-person hearing is required, then it will take place in Chicago, Illinois. The federal or state law that applies to these Official Rules will also apply during the arbitration. Disputes will be arbitrated only on an individual basis and will not be consolidated with any other proceedings that involve any claims or controversy of another party, including any class actions; provided, however, if for any reason any court or arbitrator holds that this restriction is unconscionable or unenforceable, then the agreement to arbitrate doesn’t apply and the dispute must be brought in a court of competent jurisdiction in Chicago, Illinois. Sponsor agrees to pay the administrative and arbitrator’s fees in order to conduct the arbitration (but specifically excluding any travel or other costs of Participant to attend the arbitration hearing). Either party may, notwithstanding this provision, bring qualifying claims in small claims court.

Entry materials/data that have been tampered with or altered are void. The Sponsor and Promotion Entities are not responsible for: (i) lost, late, misdirected, damaged or illegible entries; or (ii) error, omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of submission materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions of any kind, or inaccurate transmission of or failure to receive submission information by Sponsor on account of technical problems or traffic congestion on the Internet or at any web site or any combination thereof; or (iii) any injury or damage to Participant’s or any other person’s computer related to or resulting from participating in the Promotion. By participating in the Promotion, you (i) agree to be bound by these Official Rules, including all eligibility requirements, and (ii) agree to be bound by the decisions of Sponsor and the Administrator, which are final and binding in all matters relating to the Promotion. Failure to comply with these Official Rules may result in disqualification from the Promotion. Sponsor is not responsible if the Promotion cannot be implemented or prizes cannot be awarded due to delays or interruptions due to acts of God, acts of war, strikes, governmental action, natural disasters, weather or acts of terrorism. Sponsor also reserves the right in its sole discretion to disqualify any individual or Participant found to be violating these Official Rules or suspected of attempting to disrupt or defraud the entry process or the operation of the Promotion. Sponsor reserves the right to disqualify any Participant at any time during the Promotion Period that may be found ineligible.
